These Affiliate Program Terms govern participation in the nudgt affiliate program and form a binding agreement between you and TACTECH LLC. Figures and claims elsewhere on this page carry a bracketed reference (for example, [4]) pointing to the correspondingly numbered term below. Where these terms and marketing copy differ, these terms control.
1. Acceptance & eligibility
Participating in the nudgt affiliate program ("Program") means you agree to these Affiliate Program Terms and to the nudgt Terms of Service and Privacy Policy. You must be at least 18, legally able to contract, and not barred by sanctions or applicable law. TACTECH LLC ("Company", "we") may approve, reject, suspend, or remove any affiliate at its sole discretion, with or without cause or notice. No commission accrues before written approval and acceptance into the Program.
2. Independent contractor
You participate as an independent contractor. Nothing here creates an employment, agency, partnership, joint-venture, or franchise relationship. You have no authority to bind the Company, make representations or warranties on its behalf, quote prices or terms, or incur any obligation in its name.
3. What commission is paid on (subscription only)
Commission is calculated solely on the net recurring subscription fees actually received and retained by the Company from a Qualified Referral — that is, plan subscription revenue after all discounts, credits, and promotions. It expressly excludes taxes, pay-as-you-go credits, credit or overage purchases, add-ons, one-time or set-up fees, amounts refunded or charged back, and any amount not actually collected. Usage-based and credit charges are never commissionable.
4. Plan lock — upgrades never increase commission
The commissionable amount for each referral is fixed by the subscription plan in effect at that referral's first paid conversion. If a referral later upgrades, adds seats, buys credits, or otherwise increases spend, your commission does not increase and remains based on the initial plan's subscription fee. If a referral downgrades, pauses, or cancels, your commission decreases or ends accordingly. In no case will commission exceed the amount attributable to the plan at initial conversion.
5. Rates & bands
Commission rates (currently 20%–30%) are set by your number of Active Referrals as counted solely by the Company, and may be recalculated each payout period. Reaching a higher band is not guaranteed, and a band can be lost if your Active Referrals fall. The Company may change rates and band thresholds prospectively at any time.
6. Qualified & Active Referral, defined
A "Qualified Referral" is a customer new to the Company who (a) is not an existing or former account, (b) was not already a trial user or in our sales pipeline, (c) reaches us through your unique tracked link and completes a first paid subscription within the attribution window, and (d) is not you, nor an account you control, are related to, or share a household or business with. An "Active Referral" is a Qualified Referral whose subscription is current, paid, and not in refund, dispute, or cancellation. Our tracking records are the sole and final basis for determining referrals, attribution, status, and amounts.
7. Attribution & tracking
Attribution is last-click within a 90-day cookie window and is subject to the customer's browser, device, and consent settings; we do not guarantee tracking where cookies are blocked, cleared, or unavailable, and we are not liable for tracking failures outside our reasonable control. One affiliate is credited per customer, and the Company resolves any attribution conflict at its discretion.
8. Prohibited conduct (anti-fraud)
The following void all affected commissions and may cause immediate termination and forfeiture: self-referrals or referrals of accounts you own or control; fake, duplicated, incentivized, or manufactured sign-ups; cookie stuffing, forced clicks, iframe or pixel stuffing, or any manipulation of tracking; bidding on or using our trademarks, brand terms, or their misspellings (including "nudgt" variants) in paid search, domains, or ad copy; unauthorized coupon, deal, cashback, or discount promotion; spam or messaging that violates the CAN-SPAM Act, CASL, TCPA, GDPR/PECR, or any anti-spam or telemarketing law; misrepresenting the product, its pricing, or your relationship with the Company; impersonating the Company or implying employment or agency; and use of malware, adware, typosquatting, or deceptive redirects.
9. Disclosure & advertising compliance
You must clearly and conspicuously disclose the affiliate relationship in every promotion, as required by the FTC Endorsement Guides and applicable law, and must not make earnings, results, or performance claims beyond materials we provide to you in writing. You are solely responsible for the legality of your own promotional channels and content.
10. Trademarks & marketing assets
We grant you a limited, revocable, non-exclusive, non-transferable license to use only the brand marks and marketing assets we expressly provide, solely to promote nudgt under these terms. All goodwill from that use inures to the Company. No other use of our intellectual property is permitted, and the license ends when your participation ends.
11. Holds, clawbacks & reversals
All commissions are provisional until they clear a minimum 30-day hold. We may reverse, deduct, or withhold commissions for refunds, chargebacks, disputes, cancellations, non-payment, duplicate or ineligible referrals, suspected fraud or breach, or amounts later found not to have been collected. Reversals may be netted against current or future balances, and a resulting negative balance carries forward.
12. Payment
Commissions are paid in U.S. dollars, monthly, once your cleared and held balance exceeds $50; balances below that roll forward. You are solely responsible for providing accurate payment and tax information (including a W-9, W-8, or equivalent) and for all taxes on commissions you receive. The Company is not liable for delays, fees, or losses caused by incorrect information you provide or by third-party payment processors. Balances may be forfeited on prolonged inactivity, account closure, or where permitted by law.
13. Referral perk
The customer-side perk (an extra month free) applies only to new Qualified Referrals on an initial paid subscription, is limited to one per customer, carries no cash value, is not combinable except with early-access pricing as expressly offered, and may be changed or withdrawn at any time. The perk is void if the underlying referral is reversed or found ineligible.
14. No earnings guarantee
All figures, tables, and calculator outputs on this page are illustrative estimates based on assumptions you select. They are not a promise, projection, or guarantee of earnings. Actual commissions depend on your referrals’ plan choices, retention, refunds, and these terms, and may be zero.
15. Program changes & termination
The Company may modify, suspend, or discontinue the Program — including rates, bands, cookie window, perks, thresholds, and these terms — or terminate any affiliate, at any time, for any or no reason, with or without notice, and may migrate the Program to a third-party platform. Early-access or "founding affiliate" arrangements are not guaranteed to continue after public launch. On termination for fraud or breach, all unpaid commissions are forfeited. On any other termination or Program discontinuation, your entitlement to further commissions ends except as we determine in writing. Continuing to participate after a change means you accept it.
16. "Recurring" and "for life," clarified
"Recurring" and "for life" mean commission continues, subject to these terms, only for as long as (a) the referral remains an Active Referral in continuous good standing, (b) you remain in good standing and the Program remains in effect, and (c) commission has not otherwise ceased under these terms. They do not mean a perpetual or guaranteed payment and create no vested right to future commissions.
17. Liability & indemnity
To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from the Program, and its total liability will not exceed the commissions actually paid to you in the twelve months before the claim. You will indemnify and hold the Company harmless from claims arising out of your promotions, representations, channels, or your breach of these terms or of any law.
18. Governing law & final determinations
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, with exclusive venue in the state and federal courts located in Pinellas County, Florida. The Company's good-faith determinations regarding eligibility, attribution, Active Referral status, fraud, and commission calculations are final and binding. If any provision is unenforceable, the rest remains in effect; our failure to enforce a provision is not a waiver. These terms, together with the referenced Terms of Service and Privacy Policy, are the entire agreement on this subject, and the Company may assign them.
